Private Placement Memorandum

A Private Placement Memorandum (PPM) is a legal document prepared specifically for potential investors by a company wishing to raise capital through a private placement. Private placements allow companies to raise capital by selling stocks and bonds directly to individual investors and institutions without disclosing them publicly.

A PPM helps investors better understand a private placement by providing important details such as business description, terms of offer, and risk factors. This allows investors to make informed investment decisions. Private placements are not public and are exempt from U.S. registration. Exempt from the U.S. Securities and Exchange Commission (SEC), companies are not required to file a prospectus or detailed financial information. Instead of a prospectus, a private placement memorandum (PPM) is used in private placements. Please note that PPMs have not been reviewed by any regulatory body and are not generally available for sale to the public.
